1Introduction

These Terms & Conditions ("Terms") govern the use of the AFK³ Solutions website and, where incorporated into a proposal, quotation, Statement of Work ("SOW"), service agreement, Change Request, or other written agreement, the provision of services by AFK³ Solutions ("AFK³", "we", "us", or "our").

By accessing or using this website, you agree to comply with these Terms.

Clients engaging AFK³ Solutions may also be subject to an applicable proposal, quotation, SOW, service agreement, Change Request, Non-Disclosure Agreement ("NDA"), or other project-specific written agreement.

If a project-specific written agreement conflicts with these general Terms, the project-specific agreement will prevail for that engagement to the extent of the conflict.

Nothing on this website alone constitutes a binding offer to provide services at a particular price, schedule, scope, or level of availability.

AFK³ Solutions provides technology and business solutions that may include:

  • Web applications and internal business systems
  • Workflow and business-process automation
  • Artificial intelligence solutions and AI agents
  • API and system integrations
  • Technical discovery and consulting
  • Managed operations
  • Remote talent solutions
  • Related technical, operational, implementation, maintenance, and support services

Services may be delivered directly by AFK³ Solutions or through appropriately assigned employees, contractors, specialists, or delivery partners operating under AFK³'s management or project structure.

The exact services provided to a client will be defined by the applicable project agreement.

3Proposals, Quotations & Project Scope

All paid engagements should be governed by an approved proposal, quotation, SOW, service agreement, or similar written project document.

Applicable project documentation may define project objectives, scope, deliverables, functional and technical requirements, exclusions, assumptions, dependencies, responsibilities, milestones, schedule, pricing, payment schedule, revision allowance, acceptance criteria, warranty/support period, and other project-specific conditions.

Only work expressly included in the approved scope is included in the quoted project price.

Discussions, meetings, demonstrations, recommendations, estimates, preliminary concepts, mockups, examples, prototypes, messages, and other communications do not automatically become part of the contractual project scope unless expressly incorporated into approved project documentation.

AFK³ may require formal or written client approval at key stages, including:

  1. Requirements
  2. Wireframes and/or UI designs
  3. Architecture and technical scope
  4. Milestone demonstrations
  5. User Acceptance Testing
  6. Final acceptance

Once a stage or decision has been approved, a later request to materially change that approved decision may be treated as a Change Request.

4Scope Changes, Revisions & Additional Work

AFK³ distinguishes between defects, included revisions, scope substitutions, and scope additions/changes.

4.1 Defect / Bug

A Defect or Bug is functionality delivered by AFK³ that materially fails to conform to approved requirements or agreed acceptance criteria.

Verified defects attributable to AFK³ will be corrected in accordance with the applicable project agreement and, where covered, without additional development charges.

A defect does not include a new requirement, changed preference, new business rule, new integration, redesign request, third-party change, or functionality not included in approved scope.

4.2 Included Revision

An Included Revision is a reasonable adjustment to an existing deliverable that remains within approved requirements, does not introduce materially new functionality, does not materially alter the approved architecture/workflow, does not materially affect schedule, and falls within any applicable revision allowance.

Where stated in the project agreement, AFK³ may provide up to two reasonable revision rounds per defined deliverable or milestone, provided the revisions remain within approved scope.

4.3 Scope Substitution

A Scope Substitution occurs when an approved requirement, feature, workflow, integration, design, or deliverable is requested to be replaced by something materially different.

It may require additional analysis, redesign, development, testing, documentation, or project-management work and may therefore require a Change Request.

4.4 Scope Addition / Change

A Scope Addition or Change includes new functionality, new requirements, additional integrations, additional screens, new workflows, redesign of previously approved work, materially changed business rules, additional deliverables, or other work not included in approved scope.

Such work may require a formal Change Request ("CR") and may affect project price, milestone price, delivery schedule, resource allocation, dependencies, testing, and acceptance dates.

AFK³ is not required to perform material out-of-scope work without agreement regarding its commercial and scheduling impact.

4.5 Minor Changes

AFK³ may, at its discretion, absorb genuinely minor changes without a formal CR where the change is trivial, non-architectural, has negligible schedule impact, and does not materially increase delivery risk.

Repeated or cumulative minor changes may be consolidated into a CR when their combined impact becomes material. Accommodation of a minor change once does not create an obligation to provide similar future changes without charge.

5Pricing & Payment

Project fees, currency, payment methods, payment dates, milestone payments, deposits, retainers, and other financial terms will be stated in the applicable proposal, quotation, invoice, SOW, or service agreement.

Unless otherwise agreed in writing, AFK³ may require an initial payment before work begins, followed by milestone-based or scheduled payments.

AFK³ is not required to commence or continue an unpaid project stage until the corresponding payment obligation has been satisfied.

Additional work approved through a CR may be invoiced separately, added to an upcoming invoice, or incorporated into a revised payment schedule.

Applicable taxes, bank charges, payment-processing fees, currency-conversion charges, third-party subscription costs, or similar charges will be handled according to the applicable agreement or invoice.

Any pricing examples, ranges, or estimates displayed publicly are informational unless expressly stated otherwise and do not constitute a binding quotation.

6Client Responsibilities

Clients are responsible for providing accurate requirements and timely decisions, feedback, approvals, content, credentials, data, API/hosting/platform access, documentation, brand assets, test information, appropriate personnel, and other materials reasonably required for delivery.

Clients are responsible for ensuring information supplied to AFK³ is accurate and that they have the necessary rights and authority to provide it.

Project schedules may depend on timely client cooperation. Delays involving feedback, approvals, payment, access, decisions, data, content, credentials, or other client-controlled dependencies may result in corresponding schedule changes.

AFK³ is not responsible for delays caused by circumstances outside its reasonable control or dependencies assigned to the client or third parties.

Project Inactivity

Projects experiencing prolonged client inactivity may be placed On Hold.

When On Hold, allocated resources may be reassigned, the original delivery schedule may no longer apply, resumption may depend on current AFK³ resource availability, and a revised schedule may be issued.

Any specific inactivity threshold will be defined in the applicable project agreement.

7Third-Party Products & Services

AFK³ solutions may integrate with or depend upon third-party products and services including hosting providers, cloud platforms, APIs, AI providers, messaging providers, payment providers, mapping services, authentication providers, databases, analytics services, open-source software, libraries, and other external platforms.

Third-party services are governed by their providers' terms, policies, pricing, availability, technical limitations, licenses, and service changes.

AFK³ cannot guarantee uninterrupted availability, continued compatibility, pricing, performance, or continued existence of third-party services and is not responsible for failures, outages, restrictions, policy/pricing/API changes, discontinued functionality, or similar events outside AFK³'s reasonable control.

If a third-party change materially affects an existing solution, adaptation, migration, replacement, repair, or redesign may be treated as additional maintenance or a CR unless expressly covered by an active support/maintenance agreement.

Clients may be responsible for maintaining required third-party accounts, licenses, subscriptions, API credits, usage fees, and external service costs where specified.

8Artificial Intelligence & Automation

Certain solutions may use artificial intelligence, generative AI, machine learning, large language models, AI agents, automated classification, automated workflows, automated decision support, or third-party AI services.

AI-generated or AI-assisted outputs may contain errors, omissions, inaccuracies, inconsistencies, hallucinations, or unexpected results.

Unless expressly agreed otherwise, AI functionality should not substitute for appropriate professional or human review where decisions involve legal, financial, medical, safety-critical, regulatory, or other high-risk matters.

Clients remain responsible for determining whether AI-assisted outputs are appropriate for their intended business use and for implementing appropriate review, controls, and safeguards.

AI performance may change due to model updates, provider changes, data quality, prompts, usage conditions, or other factors outside AFK³'s reasonable control.

9Intellectual Property

9.1 Client Deliverables

Upon full payment of all amounts due for a project, the client will receive the ownership or usage rights to custom project deliverables specified in the applicable project agreement.

9.2 AFK³ Background Intellectual Property

Unless expressly transferred in writing, AFK³ retains ownership of its pre-existing and general-purpose IP, including tools, frameworks, libraries, templates, internal systems, utilities, methodologies, processes, reusable components/modules, technical know-how, development techniques, and materials not created exclusively for the client.

9.3 Reusable Knowledge

Unless otherwise agreed in writing, AFK³ may reuse general knowledge, skills, concepts, methods, non-confidential techniques, patterns, and reusable components developed, improved, or applied during an engagement, provided such reuse does not disclose client Confidential Information or proprietary business information.

9.4 Third-Party IP

Third-party and open-source components remain subject to their respective licenses, terms, and intellectual-property rights.

10Confidentiality

Either party may receive confidential, proprietary, technical, financial, operational, or commercially sensitive information belonging to the other.

AFK³ will take reasonable measures to protect client Confidential Information and use it only as reasonably necessary to perform agreed services or as otherwise authorized.

Confidential Information generally excludes information that is publicly available through no breach, lawfully known before disclosure, lawfully received without confidentiality restrictions, or independently developed without use of the other party's Confidential Information.

The parties may execute a separate NDA where additional confidentiality requirements apply. More specific written confidentiality terms will govern where they conflict with this section.

11Data & Privacy

Personal information submitted through the website or provided in connection with AFK³ services will be handled according to the AFK³ Privacy Policy and applicable data-protection requirements.

Clients are responsible for ensuring data they provide to AFK³, or instruct AFK³ systems to collect, store, process, transmit, analyze, or otherwise use, has been lawfully obtained and may lawfully be used for its intended purpose.

Clients are responsible for obtaining required notices, permissions, consents, or other lawful basis for their own collection/use of personal or confidential data.

Project-specific data-processing, security, retention, hosting, or compliance requirements should be defined in the applicable project agreement where necessary.

12Testing, UAT & Acceptance

AFK³ may provide a User Acceptance Testing ("UAT") period for applicable project deliverables.

During UAT, the client should test the deliverable against approved requirements and promptly report material defects or deviations.

A verified deviation from approved requirements may be treated as a Defect. Requests for new functionality, changed requirements, new business rules, redesign, additional integrations, changed workflows, or other out-of-scope functionality may be treated as CRs rather than defects.

A deliverable may be considered accepted when:

  1. The client provides written approval;
  2. The applicable acceptance period expires without material defects being reported;
  3. Reported material defects have been resolved and the deliverable materially conforms to approved requirements; or
  4. Acceptance otherwise occurs according to the project agreement.

Exact UAT duration and acceptance processes may vary by project and should be specified in project documentation.

13Warranty & Defects

AFK³ will use commercially reasonable efforts to deliver services according to approved project requirements.

Verified defects attributable to AFK³ and reported within an applicable warranty/support period will be addressed according to the relevant project agreement.

Unless expressly agreed otherwise, defects do not include issues caused by new/changed requirements, changed preferences, third-party changes/outages, modifications by the client or another provider, unsupported infrastructure changes, misuse, incorrect client data, security incidents outside AFK³-controlled systems, functionality outside approved scope, or events outside AFK³'s reasonable control.

Warranty coverage does not constitute indefinite free maintenance or feature development.

14Maintenance & Support

Unless expressly included in the project agreement, ongoing post-delivery services are not included indefinitely in the original development fee.

This includes ongoing maintenance, monitoring, hosting administration, content updates, new features, third-party integration updates, API migrations, dependency upgrades, technical/operational support, performance optimization, security updates, additional training, and future compatibility work.

AFK³ may offer separate maintenance plans, support agreements, retainers, managed-service arrangements, or additional development engagements.

15Portfolio & Marketing Rights

Unless prohibited by a written confidentiality agreement or otherwise agreed with the client, AFK³ may identify a client as a customer and display non-confidential descriptions, screenshots, demonstrations, or representations of completed work for portfolios, case studies, proposals, capability presentations, website content, and marketing.

AFK³ will not knowingly publish client credentials, private data, Confidential Information, proprietary internal business information, or other protected materials.

Clients requiring complete non-disclosure of the relationship or project should request this requirement in writing.

16No Guaranteed Business Results

AFK³ may provide estimates, recommendations, technical guidance, business-process recommendations, automation opportunities, efficiency estimates, projections, and other advice.

Unless expressly guaranteed in a written agreement, AFK³ does not guarantee specific revenue, profit, cost savings, productivity gains, conversion rates, user growth, business growth, investment outcomes, search rankings, or other commercial results.

17Limitation of Liability

To the maximum extent permitted by applicable law, AFK³ will not be liable for indirect, incidental, special, consequential, exemplary, or similar losses arising from website use or service provision, including loss of profits, revenue, business opportunity, data, or goodwill, except where liability cannot legally be excluded.

Any aggregate liability arising from a particular client engagement will be subject to limitations specified in the applicable service agreement and applicable law.

Nothing in these Terms excludes or limits liability where prohibited by law.

18Suspension & Termination

AFK³ may suspend services where required payments are overdue, required client cooperation/access is materially delayed, continued work would violate law or third-party requirements, there is a material security concern, or circumstances make continued performance unreasonable or impossible.

Either party may terminate an engagement according to the applicable project agreement.

Unless otherwise agreed, termination does not automatically cancel amounts properly due for work already performed, approved milestones/CRs, non-refundable third-party costs, contractually chargeable committed resources, or other amounts incurred before termination.

19Website Use

The AFK³ website and content are provided for informational, marketing, communication, and business-inquiry purposes.

Users must not attempt unauthorized access, intentionally disrupt/damage the website, introduce malware, abuse forms, bypass security controls, use the website unlawfully, or reproduce/commercially exploit protected AFK³ content without authorization except where permitted by law.

AFK³ branding, graphics, original website content, designs, documentation, and other proprietary materials remain protected by applicable IP rights.

AFK³ may modify, suspend, or discontinue website features where reasonably necessary.

20Website Information & Availability

AFK³ aims to keep website information accurate and useful but does not warrant that all information will always be complete, current, error-free, or continuously available.

Service descriptions are general and may not represent the exact scope available for every engagement.

Project availability, schedules, prices, team composition, technologies, and delivery arrangements are determined project-by-project.

21Changes to These Terms

AFK³ may update these Terms from time to time. The current version should be published with its effective or last-updated date.

Changes to website-use Terms take effect when published or as otherwise stated.

Changes to these general Terms will not retroactively replace terms of an existing signed client engagement unless agreed by the parties or required by law.

22Governing Law & Dispute Resolution

AFK³ currently operates from the Philippines while intending to serve clients in multiple jurisdictions.

Final governing-law, venue, jurisdiction, and dispute-resolution provisions should be confirmed based on the legal entity contracting with clients, AFK³'s place of registration, applicable Philippine law, cross-border arrangements, and qualified legal advice.

This section is pending final legal review. Definitive governing-law, venue and dispute-resolution language will be published before it is relied upon.
